Terms of Use

These Terms of Use ("Terms") form a binding agreement between you and the operator of the Loi platform ("Loi," "we," "us"), including for avoidance of doubt the platform founder and operators acting in their capacity as providers of Loi. By creating an account, accessing loinets.com, or using any Loi API, habitat, Bridge, or related feature, you agree to these Terms and the Privacy Policy.

If you use Loi on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Loi provides AI hosting and related tooling (upload or git/agent push, containerized runtimes, Bridge endpoints, Training Studio, growth-pack export, Ledger, billing). Features may change, be rate-limited, or be discontinued. Loi is not a law firm, not a fiduciary, and not a guarantor of model behavior, uptime, or fitness for any particular purpose.

You must be at least 16 years old (or the age of digital consent where you live, if higher) to use Loi. You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account, including deploy tokens and Bridge connection keys. We may suspend or terminate accounts that violate these Terms or create risk to the platform or others.

You retain ownership of code and content you upload or push ("Customer Content"). You grant Loi a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Content solely as needed to operate the service you request (including backups, builds, and growth-pack exports).

Balo's creations. As between you and UAO, you may use what Balo makes for you (its answers, images, video and voice) for your own purposes, subject to these Terms and to the rights of others; because AI can produce similar results for different people, we don't promise that what Balo makes for you is unique or that it can be protected by copyright.

Teaching Balo (on for your own chats unless you turn it off). Unless you switch off "Help teach Balo" in Settings (we tell you when it starts), you grant UAO a worldwide, non-exclusive, royalty-free licence to use the text of your Balo conversations and your image and video requests, after personal details and secrets are removed, to train and improve Balo and UAO's AI models, as described in the Privacy Policy. You keep ownership of what you wrote. You can withdraw this at any time by switching it off; we will then delete your lessons as the Privacy Policy describes, and the licence ends for future use. Turning it off has no effect on the service you get. For AIs you host, and what their own customers say, it stays off unless you turn it on.

You represent that you have all rights needed to use Customer Content with Loi, and that it does not infringe others' rights or violate law. You are solely responsible for outputs generated by your AIs and for any decisions you make based on them.

You agree not to:

• Use Loi to attack, scan, or gain unauthorized access to systems you do not own or operate
• Host malware, phishing infrastructure, or content that is illegal in applicable jurisdictions
• Attempt to escape container isolation, mine cryptocurrency without authorization, or disrupt Loi
• Resell Loi capacity in a way that circumvents plan limits or abuse controls
• Upload others' personal data without a lawful basis
• Ask Balo for pornography or sexual imagery, for instructions to make, obtain or use weapons, or to build websites or tools for selling weapons or for hacking, phishing or attacking other people's systems — Balo will decline these. Balo will still help you protect your own sites and accounts, explain weapons or hacking as history, news or law, answer health and body questions, and build filters that detect such content
• Misrepresent affiliation with Loi or reverse-engineer the platform except as allowed by law

We may investigate and remove content, stop containers, revoke tokens, restrict or suspend accounts that repeatedly try to get Balo to do things it declines, or involve authorities when we reasonably believe these rules or law are violated. If you think Balo declined something it shouldn't have, tell us at support@loinets.com — we use those reports to make Balo more accurate.

Stripe (when enabled), object storage, email, and other vendors are third parties with their own terms. Model and agent behavior can be wrong, biased, insecure, or unexpected. Balo's answers and the images, video and voice it makes can be wrong, out of date, or unsuitable, and Balo is not a doctor, lawyer or financial adviser. Do not rely on Balo, Loi or your hosted AIs as the sole basis for medical, legal, financial, safety-critical, or similar decisions.

Paid plans are billed via Stripe when billing is enabled. Failed payments may result in suspension. Taxes may apply. Canceling a subscription stops future charges according to Stripe/plan timing; it does not automatically delete your account or data — use Settings for export and deletion.

No refunds. All payments are final and non-refundable, except where the law requires otherwise. This covers plan fees, AI credit packs and extra agents. If you cancel, your plan stays active until the end of the period you have already paid for, and you are not charged again; the unused part of a period is not refunded. If you delete your account, your subscription is cancelled immediately and any time you have already paid for is not returned. AI credit never expires but cannot be exchanged for money.

Requesting account deletion cancels active subscriptions when technically possible; prepaid amounts are not pro-rated unless required by law or we agree otherwise in writing.

Before leaving, use Export everything and per-AI Download code, and pull growth packs to your local machine. Growth data already synced locally survives account deletion; unsynced Loi-side data does not.

Bridge access ends when you leave. Bridges are Loi-hosted gateways at loinets.com. When you schedule account deletion, every Bridge is deactivated immediately: websites and apps that call your Bridge endpoint will stop receiving AI replies. Hard purge removes Bridge keys entirely. If you cancel deletion during the grace period, Bridges stay Inactive until you deliberately re-enable them and redeploy running AIs. To keep your AI on your own site after leaving Loi, export/download your code and host or integrate it yourself outside Loi — that path is yours and does not depend on Loi Bridge.

Account deletion is scheduled with a grace period (default 14 days). During grace, habitats are stopped and the account is marked for purge; you may cancel deletion by restoring the account. After the deadline, data is permanently deleted from primary systems. Loi has no obligation to recover purged data.

The Loi name, branding, software (excluding Customer Content), and documentation are owned by Loi / its operators. No rights are granted except the limited license to use the service under these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOI, ITS FOUNDER, OPERATORS, AFFILIATES, AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THAT DEFECTS WILL BE CORRECTED, OR THAT YOUR AIS WILL PRODUCE ANY PARTICULAR RESULT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOI, ITS FOUNDER (IN ANY CAPACITY), OPERATORS, AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO LOI FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITS APPLY COLLECTIVELY TO LOI AND THE FOUNDER/OPERATORS AS A GROUP.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

You will defend, indemnify, and hold harmless Loi, its founder, operators, affiliates, and personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your AIs' outputs, your use of the service, or your violation of these Terms or law.

You may stop using Loi at any time and may delete your account as described above. We may suspend or terminate access immediately for violation, risk, non-payment, or legal requirement. Provisions that by nature should survive (including ownership, disclaimers, limits of liability, indemnity) survive termination.

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer law in your country requires otherwise. Exclusive venue for disputes not subject to small-claims or mandatory consumer forums is the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Either party may seek injunctive relief for unauthorized use of intellectual property or abuse of the platform.

We may update these Terms. The "Last updated" date will change, and continued use after the effective date constitutes acceptance where permitted. If you do not agree, stop using Loi and export/delete your account.
